Membership Agreement & Terms of Use

This Membership Agreement ("Agreement") is entered into between Members Only Shop Supplies, a California LLC ("Company"), and the undersigned ("Member"). This Agreement governs Member's participation in Company's membership program and use of warehouse facilities, online services (including websites and mobile applications), and purchase and use of all products.
1. Membership Structure
- Member will receive a ninety (90) day free trial beginning on the enrollment date. Both monthly and annual plans include the same 90-day free trial.
- At the end of the trial, Membership will automatically convert to a paid membership based on the selected plan unless canceled.
- Membership is available at $9.99 per month or $99 per year, plus applicable taxes.
- Membership automatically renews (monthly or annually, based on selected plan) unless canceled prior to renewal.
2. Payment Authorization
By enrolling, Member authorizes Company to:
- Charge the Member's payment method on file at the end of the 90-day free trial; and
- Charge the membership fee on each renewal date thereafter (monthly or annually, based on selected plan) unless canceled.
Member may cancel at any time. Cancellation during the free trial results in no charge. No refunds will be issued after billing except as required by law.
3. California Auto-Renewal Disclosure
Member acknowledges:
- This Membership includes a free trial that converts to paid automatically;
- Member will be charged $9.99/month or $99/year (based on selected plan) after 90 days unless canceled;
- Membership automatically renews thereafter based on the selected plan;
- Member may cancel at any time to avoid charges.
4. Communication Consent (Email & Text)
By enrolling, Member agrees to receive:
- Transactional communications;
- Marketing emails;
- SMS/text messages (message/data rates may apply).
Member may opt out at any time (e.g., reply STOP to texts).
5. High-Risk Products & Assumption of Risk
Member acknowledges that Company sells industrial and hazardous products, including automotive coatings, primers, clearcoat, solvents, cleaning chemicals, tools and equipment.
Member agrees:
- These products may cause serious injury, illness, fire, explosion, or property damage;
- Member is solely responsible for safe handling, storage, use, and compliance with all laws;
- Member assumes all risks associated with such products.
6. Safety Data Sheets (SDS)
Member acknowledges:
- Safety Data Sheets (SDS) are available upon request or at point of sale;
- Member is responsible for reviewing SDS and all instructions before use;
- Member has the knowledge, training, and equipment to safely use such products.
7. B2B Certification
If signing on behalf of a business, Member certifies:
- They are authorized to bind the business;
- Products may be used for commercial purposes;
- The business assumes responsibility for compliance, resale, labeling, and safety;
- Company is not responsible for downstream use or resale.
8. Disclaimer of Warranties
ALL PRODUCTS ARE PROVIDED "AS IS." It is the Member's responsibility to inspect all merchandise upon receipt. We are not responsible for any product damage after the Member has received the goods. The Company disclaims all warranties to the maximum extent permitted by law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Company shall not be liable for indirect or consequential damages;
- Total liability shall not exceed the membership fee paid or amounts paid in the prior 12 months, whichever is greater.
10. Indemnification
Member agrees to indemnify and hold Company harmless from claims arising out of:
- Product use or misuse;
- Failure to follow safety instructions or laws;
- Resale or distribution of products.
11. Arbitration & Class Action Waiver
All disputes shall be resolved by binding arbitration in California on an individual basis. Member waives any right to participate in class actions.
12. Warehouse Safety
Member agrees to follow all posted safety rules and acknowledges industrial hazards within the facility.
13. Governing Law
This Agreement is governed by California law.
