MEMBERSHIP AGREEMENT & TERMS OF USE — MEMBERS ONLY SHOP SUPPLIES LLC

1. Membership Structure & Free Trial

You receive a 90-day free trial beginning on your enrollment date.
Both the monthly ($9.99/month) and annual ($99/year) plans include the full 90-day free trial.
At the end of the trial, Membership automatically converts to a paid membership based on your selected plan unless canceled.
Membership fee: $9.99/month or $99/year, plus applicable taxes.
Membership renews automatically unless canceled before renewal.

2. Payment Authorization

By enrolling, you authorize us to charge your payment method at the end of the 90-day free trial and on each renewal date thereafter (monthly or annually, based on your selected plan).
Cancellation during the free trial results in no charge. No refunds after billing except as required by law.

3. California Auto-Renewal Disclosure

You are enrolling in a 90-day free trial that converts to paid automatically.
You will be charged $9.99/month or $99/year (depending on your selected plan) after 90 days unless you cancel.
Membership renews automatically; you may cancel at any time to avoid charges.

4. Communication Consent

You agree to receive transactional and marketing emails, and SMS/text messages (message/data rates may apply). Reply STOP to opt out of texts.

5. High-Risk Products & Assumption of Risk

Company sells industrial and hazardous products including automotive coatings, primers, solvents, and tools.
These products may cause serious injury, illness, fire, or property damage.
You are solely responsible for safe handling, storage, use, and compliance with all applicable laws.

8. Disclaimer of Warranties

ALL PRODUCTS ARE PROVIDED "AS IS." THE COMPANY DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Limitation of Liability

COMPANY SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE MEMBERSHIP FEE PAID OR AMOUNTS PAID IN THE PRIOR 12 MONTHS, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold Company harmless from claims arising out of product use/misuse, failure to follow safety instructions, or resale of products.

11. Arbitration & Class Action Waiver

All disputes shall be resolved by binding arbitration in California on an individual basis. You waive any right to participate in class actions.

13. Governing Law

This Agreement is governed by California law.

Unless you cancel, you will be charged $9.99/month or $99/year (based on your selected plan) at the end of the trial, and your membership will automatically renew thereafter. You may cancel anytime through your account to avoid charges.

I agree to the Membership Agreement & Terms of Use, including the 90-day free trial, automatic conversion to a paid membership, recurring billing at $9.99/month or $99/year (based on selected plan), arbitration, class action waiver, assumption of risk, and product liability limitations. Hazardous Product & SDS Acknowledgment: I acknowledge that Company sells industrial, automotive, and chemical products that may be hazardous. Safety Data Sheets (SDS) are available for review. I confirm I am responsible for reading all SDS, labels, and manufacturer instructions before use, and that I have the training and equipment to safely handle and use these products. I assume all risks related to storage, handling, use, transportation, and disposal.
